1. Acceptance

By accessing or using Vidoby at vidoby.com, you agree to these Terms. If you do not agree, do not use the service.

2. The service

Vidoby is an AI tool that turns one reference "hook" into UGC-style short videos — an avatar hook plus an optional product demo. It supports multi-language scripts, AI voiceover and lip-sync, and A/B visual variations.

3. Your content & the rights you grant

You must own or have the rights to everything you upload or import — reference hooks, avatar images, product or app footage, and brand assets. You grant Vidoby a limited licence to process that material solely to generate your videos. You are responsible for the rights to any third-party social content you import.

4. Likeness & consent

You represent and warrant that you hold all necessary rights and consents for any face, voice, image, or other personal likeness you upload or supply. Do not upload a real person’s face or voice without that person’s consent, and do not use a public figure’s likeness without the rights to do so. You must not use the Service to create deceptive deepfakes, to impersonate any person or entity, or to mislead viewers about who is speaking or appearing in a video.

5. AI-generated content disclosure

The Service produces AI-generated material, including avatars, voices, and video. You are responsible for disclosing that your content is AI-generated where the platform you publish to requires it (for example, Meta, TikTok, and YouTube AI-content labelling rules) and where the law requires it (for example, the transparency duties in Article 50 of the EU AI Act). You are responsible for applying any such labels or disclosures before publishing.

6. Acceptable use

You agree not to:

• generate infringing, deceptive, unlawful, or harassing content, or impersonate others;
• import content in breach of the source platforms’ terms; or
• publish without making any disclosures the law requires — for example, that content is AI-generated, plus applicable advertising and endorsement rules.

7. Music rights & the IP gate

Vidoby does not reuse a reference video’s original soundtrack. When you add background music, Vidoby provides a curated library of tracks it has licensed for your use, and you may publish those tracks as part of the videos you create with the Service. Some tracks may require an on-screen or description credit; where that applies we will tell you, and you agree to include it. You remain responsible for confirming you hold the rights to any other music, footage, voice, or likeness you supply yourself.

8. Ownership of outputs

As between you and us, you own the inputs you provide and the videos you generate, subject to (a) the AI providers’ terms (Google, Kling) and (b) any third-party rights in the source material you supplied. Vidoby claims no ownership of your outputs.

9. AI disclaimer

Outputs are AI-generated, may be inaccurate or imperfect, and are provided "as is". Quality, timing, and cost figures shown in the app are estimates. You are responsible for reviewing outputs before publishing.

10. Credits, billing & subscriptions

Credits are consumed per generation — a plain video versus a lip-synced video, multiplied by the number of variations. Failed generation jobs are never charged, and regenerating a script is free. Consumed credits and completed generations are non-refundable except as stated in the Refund Policy. Subscriptions and credit top-ups are billed by Dodo Payments (Merchant of Record).

Auto-renewal. Paid subscriptions automatically renew at the end of each billing period — monthly plans renew monthly, and annual plans renew annually — at the then-current price, and your payment method is charged for the next period until you cancel. You may cancel at any time in the billing portal; cancellation takes effect at the end of the current paid period, and you keep access until then. Where required by law, we send a reminder before a renewal charge. For refund eligibility, see the Refund Policy.

11. Limitation of liability

The service is provided "as is". To the extent permitted by law, we are not liable for indirect or consequential damages, and our aggregate liability is limited to the amount you paid in the 3 months before the claim.

12. Indemnification

You agree to indemnify EXAFABS against claims arising from your content or from your use of the service in breach of these Terms.

13. Governing law

These Terms are governed by the laws of India. The courts of Mumbai have exclusive jurisdiction.
